TERMS AND CONDITIONS
1.1 The term of this Agreement (the "Term") will begin on the date of this Agreement and will remain in full force and effect until the completion of the Services, subject to earlier termination as provided in this Agreement. The Term may be extended with the written consent of the Parties.
2. Payment of the applicable fees shall be governed by the following terms:
2.1 The fees shall be payable as agreed upon via an online payment gateway or other means agreed by both parties.
2.2 The Company will charge the Client a deposit for Services (the "Compensation") before commencement of work in the form of a retainer, which is 50% of the total amount due (the "Retainer") and payable by the Client upon
execution of this Agreement.
2.3 For the remaining amount, the Client will submit when Services are complete. If additional fees were assessed during the project, all remaining fees are due upon completion.
3. Tri-Digital Technology Services LLC Terms and Condition Modification Rights:
3.1 Tri-Digital Technology Services LLC reserves the right, at its sole discretion, to change, modify, add, or remove portions of the Terms contained herein at any time. Your continued use of the Tri-Digital Technology Services after the posting of changes constitutes your binding acceptance of such changes.
4.1 To the extent permitted by applicable law,
each Party agrees to indemnify and hold harmless the other Party,
and its respective affiliates, officers, agents, employees, and
permitted successors and assigns against any and all claims, losses,
damages, liabilities, penalties, punitive damages, expenses,
reasonable legal fees and costs of any kind or amount whatsoever,
which result from or arise out of any act or omission of the
indemnifying party, its respective affiliates, officers, agents,
employees, and permitted successors and assigns that occurs in
connection with this Agreement. This indemnification will survive
the termination of this Agreement.
